Associate Counsel

SeedInvest is seeking to hire an Associate Counsel to join our Legal team in New York, NY


The Role

You'll be expected to be very, very good at (the more you have in your application that shows a track record of success with related responsibilities, the better):

  • Overseeing the execution of engagement agreements with prospective issuers
  • Drafting and reviewing issuer offering materials for compliance with various SEC/FINRA rules, including internal diligence standards
  • Preparing and completing certain regulatory filings, including, but not limited to those related to FINRA Rule 5110 and FINRA Rule 5123, as well as certain compliance related filings
  • Supporting post-fundraise closing mechanics, operations, and legal reviews (including shareholder voting, transfer requests, distributions, liquidations, and dissolutions)
  • Assisting with the management of portfolio company reporting and related data
  • Consistently resolving legal issues/questions in a timely manner
  • Serving as a trusted partner to counter-parties and internal stakeholders
  • Effectively communicating legal concepts

The minimum requirements are: 

  • BA/BS degree; JD degree
  • License to practice law in at least one U.S. jurisdiction
  • Minimum of 1-3  years of experience as a practicing attorney at either: a law firm, a securities regulator (i.e. FINRA/SEC), or in-house at a startup or tech company
  • Experience working on private placements, public offerings, M&A, or with investment companies
  • Excellent written and verbal communication skills

Some extra credit that we'd love to see:

  • Experience drafting PPM’s, offering documents, or SEC filings (i.e. S-1, S-3, 10-K, 10-Q)
  • Fintech startup experience
  • Series 7 or 82, and 63 licenses (if not, you will be expected to get obtain these within 3-6 months of employment with SeedInvest)
